Choose the structure

  • Sole proprietorship, no SECP registration; just NTN and a bank account.
  • Private Limited (Pvt) Ltd, most common for startups and SMEs; limited liability; 1+ directors.
  • SMC, single-member company.
  • LLP, partnership with limited liability.

Steps for a Pvt Ltd

  1. Name reservation on eZfile, check availability, pay the fee; approval within a day.
  2. Incorporation form, directors' details, share capital, registered address, principal business.
  3. Upload CNICs, a Memorandum & Articles (templates provided), and pay incorporation fees (based on authorised capital).
  4. Certificate of Incorporation is issued digitally.
  5. NTN is generated automatically and shared with FBR; register on IRIS to file returns.
  6. Open a company bank account with the certificate, NTN and board resolution.

Ongoing compliance

  • Annual return (Form A) and financial statements to SECP.
  • Income tax return and, if applicable, sales tax returns to FBR.
  • Provincial sales tax on services (PRA/SRB/KPRA) if you provide services.
